Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and SMB Operations Inc. ("we," "us," or "our"), governing your access to and use of TaxReceipt.app and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

TaxReceipt.app is a cloud-based platform that enables organizations to:

  • Import donor and donation data from files (CSV, Excel), QuickBooks Online, and Google Sheets
  • Generate tax receipt PDFs using customizable templates
  • Deliver receipts to donors via email using your preferred email provider
  • Manage receipt batches, templates, and organizational settings
  • Track email delivery status and receipt history

The Service is designed for use by charities, nonprofits, religious organizations, and the accountants and administrators who serve them, primarily in Canada, the United States, and other jurisdictions where tax-deductible donation receipts are required.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent that you meet this age requirement and that you are legally capable of entering into binding agreements.

If you are creating an organization on the Service, you represent that you are authorized to act on behalf of that organization and that the organization is a legitimate entity registered in its applicable jurisdiction.

4. Account Registration and Security

You agree to provide accurate, current, and complete information when creating your account and to keep this information updated. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach at care@smboperations.ca

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

5. Billing, Credits, and Payments

5.1 Free Plan

The Service offers a free plan that includes up to 100 receipt credits per year, 30-day PDF file retention, one organization, and one team member. No credit card is required for the free plan.

5.2 Add-On Purchases

Additional capabilities are available as add-on purchases, including receipt credit packs, unlimited PDF storage, additional team members, and additional organizations. All add-on purchases are processed through Stripe and are subject to the following terms:

  • Expiration: All add-on purchases expire one (1) year from the date of purchase.
  • Auto-renewal: Some add-ons may be configured for automatic yearly renewal at the time of purchase. You can cancel auto-renewal at any time before the renewal date.
  • Unused credits: Unused receipt credits are forfeited upon expiration. Credits do not roll over.

5.3 Credit Consumption

Receipt credits are consumed at the time of PDF generation. Credit consumption is non-refundable. Each receipt generated consumes one credit. If a PDF file is later deleted (e.g., due to retention policy expiration), you may regenerate it for one additional credit.

5.4 Refund Policy

Because receipt credits are consumed immediately upon PDF generation, credits that have been used are non-refundable. For unused credit packs or add-ons purchased in error, please contact us within 14 days of purchase at care@smboperations.ca and we will evaluate your request on a case-by-case basis.

6. User Data and Content

6.1 Ownership

You retain full ownership of all data you upload, import, or create using the Service, including donor information, receipt data, templates, and generated PDF files ("User Content").

6.2 License to SMB Operations Inc.

By using the Service, you grant SMB Operations Inc. a limited, non-exclusive, non-transferable license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

6.3 Accuracy and Compliance

You are solely responsible for the accuracy and completeness of the data you upload and the tax receipts you generate. You are responsible for ensuring that your receipts comply with all applicable tax laws and regulations in your jurisdiction. SMB Operations Inc. does not review, validate, or guarantee the correctness of your tax receipts.

6.4 Data Export

You may export your data at any time through the Data Privacy section of your account settings. We provide your data in standard, portable formats (CSV and PDF).

7. Acceptable Use

You agree not to use the Service to:

  • Generate fraudulent, misleading, or inaccurate tax receipts
  • Send unsolicited bulk emails (spam) through the email delivery features
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to other users' data or accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts or bots to access the Service without our written permission
  • Violate any applicable law, regulation, or third-party rights
  • Resell or sublicense the Service without our written consent

We reserve the right to suspend or terminate your account for violations of this policy, with or without notice, depending on the severity of the violation.

8. Third-Party Integrations

The Service integrates with third-party platforms including Intuit QuickBooks Online, Google Workspace (Sheets, Gmail, Drive), Microsoft Outlook, Stripe, and various email delivery providers. These integrations are provided on an "as available" basis.

  • You must separately agree to the terms of service of each third-party platform you connect.
  • You authorize the Service to access your data on these platforms as described in our Privacy Policy.
  • You may revoke access to any integration at any time from your settings.
  • We are not responsible for outages, data loss, or changes to third-party services that may affect the functionality of our integrations.
  • Third-party integrations may be modified, added, or removed as the Service evolves.

9. Tax Compliance Disclaimer

TaxReceipt.app is a receipt generation tool. We do not provide tax advice, legal advice, or accounting services.

  • You are solely responsible for ensuring that your tax receipts comply with the requirements of your applicable tax authority (e.g., Canada Revenue Agency, Internal Revenue Service, HMRC, or other agencies).
  • You should consult with a qualified tax professional or legal advisor regarding your specific obligations for issuing tax receipts.
  • SMB Operations Inc. makes no representations or warranties regarding the tax-deductibility of donations or the legal sufficiency of receipts generated through the Service.
  • Many jurisdictions require organizations to retain tax receipt records for a minimum period (typically 7 years in Canada and the United States). You are responsible for maintaining your records accordingly, including exporting and archiving your data from the Service.

10. PDF Retention and Deletion

Generated receipt PDF files are stored according to your subscription level:

  • Free plan: PDF files are automatically deleted 30 days after generation. We send warning emails at 21 days and 28 days before deletion to give you time to download or upgrade your storage.
  • Unlimited Storage add-on: PDF files are retained for as long as your storage add-on subscription is active.

After a PDF is deleted, the underlying receipt data (donor information, amounts, dates) remains in the database and the PDF can be regenerated for one credit. Database records are retained until you manually delete them or request account deletion.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security patches
  • Infrastructure issues at our hosting provider (Google Cloud Platform)
  • Circumstances beyond our reasonable control (force majeure)

We are not liable for any damages resulting from Service unavailability.

12. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the property of SMB Operations Inc. and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent. Your use of the Service does not grant you any ownership rights in the Service or its underlying technology.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • SMB OPERATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
  • OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless SMB Operations Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or regulation
  • Inaccurate or fraudulent tax receipts generated through the Service
  • Your breach of any third-party rights
  • Any dispute between you and your donors, recipients, or organization members

15. Termination

15.1 By You

You may stop using the Service and request account deletion at any time through your account settings. Account deletion is subject to a 30-day grace period during which you can cancel the request and recover your data.

15.2 By Us

We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in fraudulent activity, or if required by law. Where possible, we will provide reasonable notice and an opportunity to export your data before termination.

15.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will continue to apply.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Service shall first be addressed through good faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may submit the matter to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account. The "Last Updated" date at the top of this page indicates when these Terms were most recently revised.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.
